CORPORATE LAW

Advising and support clients in all corporate aspects related to the day-to-day business of companies, including representation of clients in meetings, supporting clients in positions of responsibility in their companies, assisting clients in preparing and executing capital increases, presentation and approval of annual accounts, reviewing and monitoring annual account reports, appointment and dismissal/resignation of corporate bodies, transfer of shares, conversion of types of companies, statutory changes, etc.

M&A

Support, advise and assist clients in national and international transactions of acquisitions, mergers, de-mergers, spin-offs, asset acquisition and, in general terms, all corporate transactions in which clients need legal support.

OIL & GAS

Advising clients in production, transportation, distribution and trading of energy projects, including projects to gain access to the natural gas transport and distribution network, as well as the distribution and trading of butane gas and propane. Representation of clients in the various public or private entities involved, including the negotiation of concessions and joint ventures, regulation, competition and European law in general, mergers and acquisitions and project financing.

CONTRACTS

Advising clients on all types of contracts, whether of a civil or commercial nature, national or international, e.g., leases, representation contracts, partnership contracts, agency contracts, service contracts, joint ventures, concession contracts, etc.

COMPETITION

Advising clients with respect to antitrust, merger control, abuse of dominant position, cartels, state aid, infringement proceedings and judicial remedies before European and national competition authorities and courts. Within the scope of merger control, advising on transactions before Portuguese and European competition authorities. Advising and representing clients in the establishment of distribution networks, self-evaluation of any type of agreements, and, in particular, the design and implementation of compliance audits.

ADMINISTRATIVE LAW

Advising clients in the field of administrative law and, in general, public law, providing assistance in matters such as licensing, public procurement (covering contracts with various Portuguese public entities, at the central, regional and local level), urban planning, expropriation and the environment, including pre-litigation advice and representation before central and local services and authorities, as well as legal representation in all types of litigation. Advising clients on processes to license industrial units.

LABOUR LAW

Advising clients on all legal issues related to their commercial activity, including, for example, the conclusion of fixed-term employment contracts and those of indefinite duration, disciplinary procedures, revocation/termination of employment contracts, dismissals, collective redundancies, etc.

TAX LAW

Tax advice for clients on all tax matters related to their commercial activity, including in the realm of corporate income tax (IRC), VAT, stamp duty, municipal real estate transfer tax (IMT) and municipal property tax (IMI), as well as any other taxes applicable to the commercial activity of clients, including special excise taxes.

LITIGATION

Advising, assisting and representing clients in all types of litigation, whether civil – including debt collection proceedings – tax, administrative or criminal.

PRIVATE CLIENTS

RMMV also assists various clients privately, both in the context of family matters and in the more dynamic realm of business, striving to advise them according to the values that define our firm – Responsibility, Dedication, Excellence. RMMV's Private Client team provides legal counsel in the most diverse areas, especially family law (family protocols, succession, gifts, distributions, etc.), asset management, real estate transactions and the obtaining of visas and/or residence permits, including investment visas, Golden Visa, as well as in obtaining Non-Habitual Resident Status (RNH).
